The SEC wishes to inform the public and all market operators that, in operationalizing the Virtual Asset Service Providers Act, 2025 (Act 1154), the Commission has finalized its regulatory sandbox framework for Virtual Asset Service Providers (VASPs) to pilot their products and services in a controlled environment under the regulatory oversight of the Commission.

The regulatory sandbox period will last for a period of (12) twelve months. After the first six months of the 12-month period, VASPs, whose products and services are market-ready and have complied with all regulatory requirements, may be transitioned to their respective activity-based license/registration. VASPs whose products and services are NOT market-ready within the first six (6) months may be allowed to continue the pilot of their product for the remaining six months.

The general public is hereby notified about the publication of the Securities Industry (Regulatory Sandbox Licensing) Guidelines 2026.

These Guidelines shall provide a framework for the issuance of Regulatory Sandbox Licences to facilitate the testing of innovative capital market activities, products, services, business models, market infrastructure, or related services for which existing legal or regulatory provisions may be absent, inadequate or evolving while ensuring investor protection, market integrity and financial stability.

Accra, 19 February 2026 — The Deputy Director-General of Operations at the Securities and Exchange Commission (SEC), Mr. Mensah Thompson, today participated in a business roundtable hosted by Standard Chartered Bank Ghana in Accra.

Mr. Thompson, in his remarks, underscored the SEC’s readiness to create an enabling regulatory environment that supports innovation while safeguarding investor protection and market integrity.

He noted that with the passage of the Virtual Asset Service Providers Act and the ongoing development of supporting regulatory frameworks, the SEC is positioning Ghana to harness opportunities in digital finance within a structured and well-supervised environment.

He emphasised that regulatory clarity and partnership between regulators and industry will be critical to unlocking long-term capital and strengthening Ghana’s position as a resilient investment destination, and ensuring the development of emerging areas such as virtual assets.

The event, themed “Evolution of the Capital Market in Ghana – From Policy to Opportunity,” brought together key stakeholders to discuss developments in virtual assets, infrastructure bonds, sustainable finance, and emerging investment opportunities.

The SEC remains committed to working closely with industry players to translate policy direction into sustainable market opportunities that drive economic growth and investor confidence.

The Deputy Director-General, Operations at the Securities and Exchange Commission (SEC), Mr. Mensah Thompson, has reiterated the Commission’s commitment to building a credible and well-regulated virtual asset ecosystem in Ghana at the Ghana Virtual Assets & Financial Services Symposium held on 17th February 2026 at the Mövenpick Ambassador Hotel, Accra.

In his keynote address, Mr. Thompson highlighted ongoing regulatory measures, including the development of Guidelines for Digital and Online Foreign Exchange Trading Activities and the operationalisation of the Virtual Asset Service Providers Act, 2025.

“Regulatory clarity is not an obstacle to growth. It is the foundation of sustainable growth,” he stated.

He noted that the SEC is finalising a Regulatory Sandbox framework and strengthening supervisory and enforcement actions to protect investors and uphold market integrity.

The Deputy Director-General also emphasised collaboration with the Bank of Ghana and other stakeholders, including implementation of a National Virtual Asset Literacy Programme and compliance with global AML/CFT standards.

He reaffirmed that the SEC remains committed to fostering innovation within a framework of trust, transparency and financial stability.
