NGO Registration process

Choose the Type of NGO
First, decide the type of entity you wish to register your NGO as, which could be one of the following:
• Trust: Governed by the Indian Trusts Act, 1882, suitable for small groups of individuals; usually involves a non-profit motive such as education, religion, or charity.
• Society: Governed by the Societies Registration Act, 1860; suitable for clubs, associations, or welfare groups working towards charitable goals.
• Section 8 Company: Governed by the Companies Act, 2013; used for promotion of commerce, art, science, sports, education, research, social welfare, religion, charity, protection of environment, etc.

Prepare the Documentation
Depending on the type of registration, different documents are required:
• Trust: Prepare a Trust Deed containing the name, objectives, and details about the trustees and operations.
• Society: Draft a Memorandum of Association and Bylaws detailing the society’s objectives, membership rules, meetings, and procedures.
• Section 8 Company: Prepare a Memorandum of Association (MOA) and Articles of Association (AOA) stating the details of the company, its objectives, and its governing policies.

Filing the Application
• Trust: File the trust deed with the local registrar and pay the requisite fee.
• Society: Submit the Memorandum of Association and Bylaws along with the consent letters of all founding members, a declaration by the president of the society, and applicable fees to the Registrar of Societies.
• Section 8 Company: Apply to the Ministry of Corporate Affairs with the MOA and AOA along with the declaration from directors and a prescribed fee. Approval must be obtained for using “Section 8” in the company name.

Obtain Necessary Approvals
• Trusts and Societies need to be registered with the state government’s respective registrar office.
• Section 8 Companies require approval from the Central Government. The process involves the Ministry of Corporate Affairs vetting the application and objectives to ensure they align with the criteria for a Section 8 company.

Acquire Registration Certificate
Once the respective authority reviews and approves the application, a certificate of registration is issued. This certificate is crucial as it legitimizes the NGO and is required for all legal activities, banking transactions, and formal registrations.

Apply for PAN and TAN
Immediately after registration, apply for a Permanent Account Number (PAN) for the NGO. These are essential for tax purposes and financial transactions.

Open a Bank Account
Open a bank account in the name of the NGO to manage donations, grants, and funding. The registration certificate, PAN, and other organizational details will be required by the bank to process the opening of the account.

Register for Taxes and Obtain Licenses
Depending on the NGO’s activities and the state laws, register for Goods and Services Tax (GST) if applicable, and obtain any necessary licenses or permissions for operations. In case NGO is involved in business activities then GST is required.

Comply with Regulatory Requirements
Regular compliance such as filing annual returns, maintaining books of accounts, and renewing licenses is required to keep the NGO in good legal standing.
